Terms of Business

These terms govern all engagements with CShift AB, unless explicitly agreed otherwise in writing.

Conflicts of Interest:

  • We diligently assess potential conflicts prior to engagement.

  • Should a conflict arise, the client will be promptly informed.

  • We may represent clients in similar fields if no direct conflict exists.

Scope of Engagement:

  • The party issuing instructions is considered the client and is responsible for payment.

  • We will execute the engagement until completion, unless otherwise instructed.

  • We may engage third parties, but are not liable for their actions.

Fees and Disbursements:

  • Fees are determined based on time, expertise, urgency, and project significance.

  • A fee schedule for standardized services is available upon request.

  • We may provide a cost estimate, subject to revision if the scope of work changes.

Invoicing and Payment:

  • Invoices are typically issued monthly, with payment terms specified therein.

Advance Payments:

  • We may request advance payment for significant disbursements or in cases of outstanding invoices or negative credit status.

Confidentiality:

  • All parties are bound by confidentiality obligations regarding information exchanged.

Email Communication:

  • The client's provided email address serves as the primary communication channel.

  • Any changes to this address must be communicated in writing.

Contact Information:

  • The client must provide and maintain accurate contact information.

Termination:

  • We reserve the right to terminate an engagement in specific circumstances, including non-payment, conflicts of interest, or unforeseen events.

Client Files:

  • Original documents will be returned upon completion of the engagement, subject to full payment.

Liability:

  • Our liability is limited to the professional fee for the engagement, up to €100,000 annually.

  • The client must promptly notify us of any potential claims.

Force Majeure:

  • We are not liable for delays or non-performance caused by events beyond our reasonable control.

Governing Law and Jurisdiction:

  • Disputes will be governed by the laws of the country where the relevant CShift entity is located.

Language:

  • While translations may be available, the English version of these terms prevails.

Amendments:

  • We may update these terms, with the latest version accessible on our website.
